Chilwa Minerals Closes $3.5M Nasdaq ADS Offering
Australian miner Chilwa Minerals raised $3.5M via 625,000 ADS units on Nasdaq, paired with five-year warrants priced at $5.60 each.
Chilwa Minerals Limited, an Australian mining company dual-listed on the ASX and Nasdaq, announced Thursday the completion of an underwritten public offering that generated US$3.5 million in gross proceeds before underwriter discounts and related expenses.
The offering comprised 625,000 American Depositary Shares at a price of US$5.60 per unit, with each ADS representing ten ordinary shares of the company. Investors also received accompanying warrants to purchase an equivalent number of ADSs at the same exercise price of US$5.60 per ADS.

The warrants are exercisable immediately upon issuance and carry a five-year term from their original issuance date, giving holders a multi-year window to acquire additional shares if the stock appreciates. Chilwa trades on the Nasdaq Capital Market under the ticker symbol "CHWM," with shares beginning to change hands on that exchange on October 1, 2026.
The capital raise marks a notable step for the Perth-based miner as it pursues a dual-market presence spanning Australian and US equity investors. The relatively modest size of the offering suggests the funds may be directed toward early-stage exploration or operational milestones rather than large-scale capital projects, though the company did not specify use of proceeds in its announcement.
